This is the plain-language version of the cited update, written to be read out loud. Everything in it is public: it all comes from one document Bricks & Minifigs filed with state regulators, and anyone can pull it. Nothing here is a court ruling, and everyone named is presumed to have acted lawfully.
Before you can buy a franchise, the company has to hand you a thick legal book about itself, and file the same book with the government. You are supposed to be able to trust it, because it is the one thing you get to read before you sign. Bricks & Minifigs’ book argues with itself. Not once. Four times, and all four are on pages of the same document.
The book tells a buyer the company gives you “suggested prices,” and spells out, a little later, that you “may not need to follow” any price it suggests. Fine. Prices are up to you. Except the company also had to attach the table of contents of its secret operations manual, and right there in the pricing chapter is a section with a name: “Standardized Pricing Policies.” The company wrote that. It is in the same book that just told you pricing was only a suggestion.
That attached table of contents has a page number next to every chapter. The early ones behave: chapter 10 starts on page 102, chapter 11 on 118, chapter 12 on 132. Then it falls apart. Every chapter after that, seven of them, says it starts on page 1. Pricing: page 1. Purchasing: page 1. Inventory: page 1. All of them, page 1. A book whose twelfth chapter is on page 132 cannot have its thirteenth on page 1. So a buyer who opens the filing to find out how the company handles pricing, or buying, or inventory, is pointed at page 1 and finds nothing. Those seven are the chapters about how the business actually runs.
In the same breath, the company says that table of contents is “approximately 107 pages.” The table of contents it attached is seven pages long. And it points to page 136. So the number is wrong whichever way you read it: the list is not 107 pages, and the manual it describes is not 107 pages either.
One more, small but telling. In that same pricing chapter, two different sections are both numbered 14.2, and a section called 14.1.1 is filed underneath 14.2 instead of 14.1. The numbering is simply wrong.
None of this needs a leaked document or an inside source. It is four contradictions sitting inside one filing the company handed the government and every buyer. Most likely the page numbers are just a table of contents that never got updated, and that is worth saying. But it is the company’s own book, and it does not agree with itself.
